These Terms and Conditions (“Terms”) govern your access to and use of the website, application, widgets, and related services provided via Formslead.com (the “Service”). By accessing or using the Service, you agree to these Terms.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

2. The Service

The Service enables merchants to create and embed guided selling experiences (e.g., quizzes, product finders, widgets) and may provide recommendations, analytics, lead capture functionality, and integrations.

We may change, update, or discontinue parts of the Service at any time.

3. Accounts and Security

You must provide accurate information when creating an account and keep it updated. You are responsible for all activity under your account and for keeping login credentials confidential. Notify us promptly of unauthorized access.

4. Subscriptions, Trial, and Billing

4.1 14-Day Trial and Auto-Conversion

We offer a 14-day trial. To start a trial, you must provide valid payment details.

Unless you cancel before the trial ends, your trial will automatically convert to a paid subscription at the applicable plan price, and your payment method will be charged.

4.2 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your plan). Fees are exclusive of applicable taxes (including VAT) unless stated otherwise.

4.3 No Refunds

Except where required by applicable law, fees are non-refundable, including for partial use, unused time, downgrades, or early termination.

5. Cancellation (One-Month Notice)

You may cancel your subscription at any time.

  • For monthly plans, cancellation takes effect at the end of the next monthly billing period (one-month notice).

  • For annual plans, cancellation takes effect at the end of the current annual term, unless otherwise agreed in writing.

6. Availability, Maintenance, and No SLA

The Service is provided on an “as available” basis. We do not guarantee uninterrupted, error-free, or continuously available operation.

We may perform planned maintenance that can temporarily reduce availability. Where reasonably practical, we will try to schedule maintenance to minimize disruption and/or provide notice (for example, via email or in-app).

7. Acceptable Use

You agree not to misuse the Service. You will not, and will not allow others to:

  • engage in fraud, illegal activity, or deceptive practices;

  • use the Service in connection with prohibited goods or services;

  • violate the rights of others (including intellectual property, privacy, or consumer rights);

  • attempt to gain unauthorized access to the Service or systems;

  • interfere with or disrupt the Service (including by introducing malware);

  • reverse engineer, copy, or create derivative works of the Service except as permitted by law.

Platform policy compliance

You may not use the Service for products/categories prohibited under applicable platform policies and laws, including restrictions applicable to Shopify, WooCommerce, and Magento.

We may suspend or terminate accounts that violate this section.

8. Customer Content and Responsibilities

8.1 Customer Content

You own your storefront content, product data, quiz content, and other materials you provide to the Service (“Customer Content”). You grant us a limited license to host, process, and display Customer Content solely to provide and improve the Service.

8.2 Your responsibilities

You are responsible for:

  • product accuracy, claims, pricing, and compliance;

  • ensuring Customer Content is lawful and that you have rights to use it;

  • ensuring your end-user notices and consents are compliant (cookies, analytics, marketing consent, etc.);

  • validating outputs and ensuring recommendations are appropriate for your business.

9. Data Processing, Privacy, and Integrations

Our Privacy Policy explains how we process personal data. Where we process end-user lead data on your behalf, you are responsible for the lawful basis and required end-user disclosures.

The Service may integrate with third-party services. Your use of third-party services is governed by their terms, and we are not responsible for third-party services’ availability or security.

We use service providers to operate the Service (for example: Stripe, Supabase, Vercel, and Framer).

10. Intellectual Property

We own all rights, title, and interest in and to the Service (including software, design, and branding), excluding Customer Content. You receive only a limited right to use the Service under these Terms.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that using the Service will increase sales, conversion, or revenue, and we do not guarantee error-free recommendations.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  1. We will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data.

  2. Our total liability arising out of or relating to the Service will not exceed the fees paid by you to us in the three (3) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law.

13. Indemnification

You agree to indemnify and hold us harmless from claims arising out of:

  • your Customer Content, products, product claims, or storefront practices;

  • your breach of these Terms;

  • your violation of laws or third-party rights.

14. Suspension and Termination

We may suspend or terminate access if you breach these Terms, fail to pay, or if your use creates security, legal, or operational risk. Upon termination, your right to use the Service stops.

15. Account Deletion and Data Deletion

If you delete your account, your content in the Service will be deleted.

We retain only the business, billing, and accounting information required under Dutch law (for the legally required period).

16. Changes to Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice (e.g., via email or in-app). Continued use after the effective date means you accept the updated Terms.

17. Governing Law and Venue

These Terms are governed by the laws of the Netherlands. Any disputes will be submitted to the competent courts in Amsterdam, the Netherlands, unless mandatory law provides otherwise.
